Welcome, and thank you for choosing Discord Pro Integration. We have written these Terms of Service ("Terms") to set clear, fair expectations for both of us. They form a binding agreement between you and PluginPro ("we", "us", "our") and govern your access to and use of Discord Pro Integration (the "App"). We are committed to providing a genuinely useful, reliable service; in return, these Terms explain the rules of use and, candidly, the legal protections we need in order to offer the App. By installing, accessing or using the App, you agree to these Terms. If you do not agree, please do not install or use the App.

1. Agreement & acceptance

These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the App. They may be supplemented by the rules and terms of monday.com (including its Marketplace and developer terms) and of Discord. If there is a direct conflict between these Terms and monday.com's marketplace terms regarding billing or marketplace operation, monday.com's terms control for those matters; otherwise, these Terms govern your use of the App.

3. The App

The App connects a monday.com account with a Discord server to provide intake of reports into monday boards, monday-to-Discord notifications, scheduled digests, deadline and SLA reminders, two-way thread/comment sync, voting and slash commands, as configured by the Administrator. The features available to you depend on your Plan. We are continually improving the App and may add, change or remove features over time, as described in Section 19.

4. Eligibility & authority

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. If you use the App on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation to these Terms, and references to "you" include that organisation. You are responsible for ensuring that your use of the App complies with the policies of your organisation, monday.com and Discord.

5. Administrators & members

The App is installed and configured by an Administrator, who controls its settings — including which boards and channels are connected and which features are enabled. Members may link their own monday.com account using the /connect command so that their actions are attributed correctly. You are responsible for the activity that occurs through your account, for maintaining the confidentiality of your access credentials, and for promptly notifying us of any unauthorised use you become aware of.

6. Subscriptions, billing, trials & refunds

Paid Plans are sold and billed through the monday.com Marketplace, which acts as the merchant of record and handles payment processing, applicable taxes, invoicing, renewals, cancellations and refunds in accordance with monday.com's terms. Subscriptions, free trials, upgrades and downgrades are managed through your monday.com account. Your access to paid features reflects your then-current Plan; if a subscription ends, expires, or is downgraded, access to the corresponding features will be reduced or removed accordingly. Except where required by applicable law or by monday.com's policies, fees are non-refundable. We do not receive or store your payment-card details.

7. Trials, beta & new features

We may offer free trials and may make new or experimental features available on a "beta", "preview" or "early access" basis. Trial and beta features are provided for evaluation, may be changed or withdrawn at any time, may not work as intended, and are provided "as is" without warranties and (to the extent permitted by law) without the limited commitments in these Terms that apply to generally available features.

8. Service availability & our reliability commitment

We care deeply about reliability, and we want the App to be there whenever you need it. We use commercially reasonable efforts to keep the App available, monitored and performing well, to apply security and stability updates, and to investigate and resolve issues promptly when they arise. When we need to carry out maintenance or deploy updates, we aim to do so with minimal disruption.

At the same time, the App depends on third-party platforms (including monday.com and Discord) and on the public internet, which we do not control. For that reason, and except where we have expressly agreed a separate written service-level agreement (SLA) with you, the App is provided without any uptime or availability guarantee, and we do not warrant that it will be uninterrupted or error-free. This section reflects a good-faith commitment to do our best — it is not a contractual warranty or SLA.

Subject to these Terms and your Plan, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the App for your internal business purposes. You agree not to, and not to permit anyone else to:

10. Fair use & technical limits

To keep the App fast, reliable and fair for everyone, we may apply reasonable technical and usage limits (for example, on request volume or automated activity) and may take proportionate measures to protect the service and its users from abuse, excessive load or security risks. Where practical, we will aim to give notice before applying limits that would materially affect your normal use.

11. Your data

As between you and us, you retain all rights in Customer Data. You grant us a limited, worldwide, non-exclusive licence to host, process and transmit Customer Data solely to provide, secure and support the App and as described in our Privacy Policy. You are responsible for ensuring you have all necessary rights, permissions and lawful bases for the data you connect and the content you transmit through the App, and for the accuracy of that data.

12. Third-party platforms

The App depends on monday.com, Discord and other third-party services. We do not control and are not responsible for those platforms' availability, performance, changes, suspensions, pricing or actions, and your use of them remains governed by their own terms. Disruption, modification or discontinuation of a third-party platform may affect or interrupt the App's functionality, and is outside our reasonable control.

13. Intellectual property & feedback

The App, including its software, design, text, graphics and trademarks, is and remains owned by PluginPro or its licensors and is protected by intellectual property laws. Except for the limited licence expressly granted in Section 9, these Terms do not transfer any rights to you. If you choose to give us feedback, suggestions or ideas, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without restriction or obligation to you.

14. Confidentiality

Each party may have access to the other's non-public information that is marked or reasonably understood to be confidential. The receiving party will use such information only to perform under these Terms, will protect it using reasonable care, and will not disclose it except to its personnel or providers who need it and are bound by similar obligations, or as required by law. This section does not apply to information that is or becomes public through no fault of the receiving party, or that is independently developed or lawfully obtained.

15. Disclaimers

We stand behind our work and strive to make the App genuinely useful and dependable, including through the reliability commitment in Section 8. That said, and to the maximum extent permitted by applicable law, the App is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free or secure, that it will meet your requirements, or that data synchronised between platforms will always be accurate, timely or complete. You are responsible for maintaining your own records and backups of important data. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

16. Limitation of liability

To the maximum extent permitted by applicable law:

These limitations and exclusions form an essential basis of the bargain between us and apply regardless of the theory of liability. They do not apply to liability that cannot be excluded or limited under applicable law (which may include, for example, certain liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or wilful misconduct).

To the extent permitted by law, you will defend, indemnify and hold harmless PluginPro and its officers, employees, contractors and agents from and against any third-party claims, damages, liabilities, losses, costs and expenses (including reasonable legal fees) arising out of or related to your misuse of the App, your violation of these Terms or applicable law, your infringement of any third party's rights, or the data or content you transmit through the App.

18. Term, suspension & termination

These Terms apply for as long as the App is installed or in use. You may stop using the App at any time by uninstalling it from your monday.com account. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if required by monday.com or by applicable law, or where reasonably necessary to protect the App, its users or third parties — and, where practicable, we will aim to give you notice. Upon termination, the licence granted to you ends and per-account data is handled as described in our Privacy Policy. Provisions that by their nature should survive termination (including Sections 11, 13, 14, 15, 16, 17, 20 and 22) will survive.

19. Changes to the App & these Terms

We may modify the App and these Terms from time to time, for example to add features, improve security, or reflect legal or operational changes. If we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide notice through the App or the marketplace listing. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using and uninstall the App.

20. Governing law, informal resolution & disputes

We would much rather resolve any concern quickly and amicably, so before starting formal proceedings, please contact us (Section 23) and give us a reasonable opportunity — at least thirty (30) days — to resolve the matter informally. These Terms are governed by the laws of the jurisdiction in which PluginPro is established, without regard to its conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over disputes arising out of or relating to these Terms, except that this does not deprive you of any mandatory consumer-protection rights or remedies available to you under the laws of your country of residence.

21. Export & compliance

You represent that you are not located in, and will not use the App in, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable export-control or sanctions laws. You agree to comply with all such laws in your use of the App.
